
Senior Transactional Attorney

Innovative Driven is currently seeking an experienced and dynamic Senior Transactional Attorney to join the team at a leading boutique law firm client, based in San Diego! The firm prides itself on its dedication to excellence, innovation, and client-focused solutions. They serve US and international clients in securities, regulatory, and corporate matters.
The firm operates on a hybrid schedule, with three days a week onsite in San Diego for collaboration, and two days remote.
Relocation could be provided for the right candidate!
RESPONSIBILITIES
Lead and oversee complex securities transactions, including private placements, fund formations, and other investment-related agreements.
Advise broker‑dealers, RIAs, and private funds on compliance with federal and state securities laws, including the Securities Act of 1933, Securities Exchange Act of 1934, and Investment Advisers Act of 1940.
Prepare and negotiate offering documents, subscription agreements, regulatory filings, and compliance programs.
Assist in efforts to further drive the firm’s growth in securities transactional services.
Develop and maintain client relationships.
Assist in the expansion of the firm’s securities client base through networking, thought leadership, and community engagement.
REQUIREMENTS
Juris Doctor (JD) from an accredited law school.
Active membership in good standing with the California State Bar. Admission to multiple jurisdictions is a plus.
Minimum of 8 years of securities transactional, M&A, corporate law experience, with a focus on broker‑dealer, RIA, and private fund clients a plus.
Deep understanding of regulations affecting the financial industry including federal and state securities laws, FINRA and SEC regulations, in addition to corporate law matters, M&A, regulatory exams and corporate strategic advisement.
