Reporting to the Sr. Director, Compliance, this role provides strategic and operational leadership for the Contracts function, overseeing the Contracts team and serving as the organization’s subject‑matter expert for distributor and commercial agreements. The Sr. Manager is responsible for reviewing, negotiating, and redlining a wide range of contracts, including Distributor and Wholesaler Agreements, Master Service Agreements (MSAs), Statements of Work (SOWs), and other complex commercial arrangements.
Accountabilities
Serve as the subject‑matter expert on contracts, communicating risks and recommendations clearly to stakeholders.
Oversee and set standards for the review, negotiation, and approval of complex agreements such as Distributor agreements, Master Services Agreements, Statements of Work, and related amendments.
Define and evolve the US Contracts strategy in alignment with commercial growth and compliance risk tolerance.
Serve as a trusted advisor to senior leadership on distributor and commercial contract risks.
Lead, coach, and mentor compliance team members while fostering a collaborative, high‑performance culture.
Accountable for contract turnaround SLAs that balance speed with risk mitigation, aligning service levels to business priorities.
Ensure all contracts are fully executed and accurately updated in systems for effective contract lifecycle management.
Own
The Sr. Manager, Contracts owns governance of the contract lifecycle, ensuring appropriate delegation, prioritization, and escalation across the contracts team.
Ensure Sales, Marketing, Compliance, and Commercial teams understand contractual implications for key initiatives.
Influence
Communicate contractual risks and recommendations to leadership, translating complex information into practical advice.
Veto
Contracts that conflict with applicable laws, regulations, compliance requirements, company standards or non‑standard terms with material risks.
Critical Relationships
Sales, Marketing, Finance, Compliance teams and senior leadership.
Leadership alignment on risk assessments.
Proper submission, review, approval of contracts process.
Skills Needed To Be Successful
10+ years of relevant work experience with direct supervisory experience.
Strong judgment in risk mitigation and interpersonal skills.
Effective verbal and written communication; translates complex concepts in a clear practical manner for diverse stakeholders.
Strong organizational abilities and multitasking capacity to manage multiple contract workflows efficiently.
Success comes from adaptability and alignment with values like simplicity, humility, and urgency.
Compensation
Compensation offered to prospective Team Members has taken internal equity into consideration and can vary depending on a positions’ location. The final agreed upon wage may vary based on the job‑related knowledge, skills, and experience of the individual.
Competitive annual salary $134,000 - $168,000 in Chicago, IL.
