
Corporate Paralegal

Job Summary
This position provides support to the Legal department on general corporate matters and conducts the full spectrum of corporate maintenance activities.
Essential Duties & Responsibilities
Maintenance of corporate minute books for subsidiaries, including preparation of shareholder and board resolutions electing directors, officers and approving necessary transactions
Maintenance of annual calendar and attend to filing of annual reports in domestic and foreign states for all subsidiaries
Preparation and review of corporate qualifications, name changes, fictitious name filings, mergers, withdrawals and dissolutions for subsidiaries
Assist subsidiaries with legal and contract requirements including trades licenses
Coordinate with subsidiaries requiring a clearance with Department of Defense
Process complaints/subpoenas served on all corporate entities
Coordinate with Tax, Accounting, Marketing, Operations, Human Resources, and Risk Departments regarding pertinent corporate and related information
Assist on due diligence and closing of corporate mergers and acquisitions
Assist with financings and related documents, including UCCs
Qualifications
Minimum of 3 years’ experience at a large law firm or in a complex in-house corporate environment
Baccalaureate degree and paralegal certificate preferred
Strong organizational, oral, and written communication skills
Self‑motivated and detail oriented
Ability to prioritize workflow and perform effectively as a team member
Ability to manage multiple tasks and meet deadlines on a daily basis
Strong analytic skills, including interpreting government statutes and regulations and technical procedures
Strong command of the Microsoft O365 Suite, including Copilot, Excel, PowerPoint, Vizio, Teams, as well as proficiency with SmartSheet, and DocuSign

Compensation & Benefits
Compensation Range: $101,000 – $130,000
