Role Description
Krogh & Decker, LLP is seeking a motivated and detail-oriented Transactional Attorney to join our growing practice. This role focuses on a broad range of transactional matters, including contract drafting and negotiation, business formation, corporate governance, and general business advisory services. The ideal candidate is proactive, responsive, and capable of managing multiple matters while delivering high-quality legal work and client service.

Key Responsibilities

Draft, review, and negotiate a variety of commercial agreements, including service agreements, vendor contracts, and NDAs

Advise clients on business formation, entity structuring, and corporate governance matters

Support mergers, acquisitions, and other business transactions as needed

Conduct legal research and provide practical, business-oriented guidance to clients

Collaborate with attorneys and staff across practice areas to support client needs

Manage client relationships and communicate effectively regarding ongoing matters

Qualifications

Juris Doctor (JD) degree from an American Bar Association-accredited law school

Good standing and can practice law in the state of California

A genuine enthusiasm and passion for the practice of law and a strong commitment to achieving the best results for clients through aggressive and practical lawyering

The ability to manage time effectively, prioritize tasks, and focus on activities that contribute to successful case resolution and firm profitability

A proven ability to work effectively with colleagues, build strong professional relationships, and contribute to a positive, drama-free work environment

Demonstrated ability to act with integrity, fostering trust and confidence among teammates and firm leadership

A self-motivated and goal-oriented approach to work with a track record of meeting billable hour expectations (1800 billable hours requirement with a portion to be used for Business Development)
